These Terms of Service ("Terms") constitute a legally binding agreement between you and Sports Stats Limited ("we", "our", or "us"), a company registered in England and Wales, governing your use of VidTrace, our video management platform for sports teams (the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use the Service.

2. Description of Service

VidTrace is a cloud-based video management platform that allows sports teams and clubs to upload, organize, tag, comment on, and share videos. The Service includes features for athlete tagging, video organization, team collaboration, and subscription-based access with various storage and member limits.

3. User Accounts

3.1 Account Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate
  • Maintain the security of your password and account
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use

3.2 Account Types and Roles

The Service supports different user roles (Admin, Coach, Athlete) with varying permissions. You agree to use the Service in accordance with your assigned role and not to attempt to access features or content beyond your authorized permissions.

4. Acceptable Use

You agree not to:

  • Upload, post, or transmit any content that is illegal, harmful, or violates any laws
  • Upload content that infringes on intellectual property rights of others
  • Upload content that is defamatory, harassing, abusive, or discriminatory
  • Upload malicious software, viruses, or code designed to disrupt the Service
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Interfere with or disrupt the Service or servers connected to the Service
  • Use the Service for any commercial purpose not authorized by us
  • Impersonate any person or entity or misrepresent your affiliation
  • Collect or harvest information about other users without their consent
  • Use automated systems to access the Service without permission

5. Content and Intellectual Property

5.1 Your Content

You retain ownership of any content you upload to the Service ("Your Content"). By uploading content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, reproduce, modify, and display Your Content solely for the purpose of providing and improving the Service.

You represent and warrant that:

  • You own or have the necessary rights to Your Content
  • Your Content does not violate any third-party rights
  • Your Content complies with these Terms and applicable laws

5.2 Our Intellectual Property

The Service, including its design, features, and functionality, is owned by Sports Stats Limited and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.

6. Subscriptions and Payments

6.1 Subscription Plans

The Service offers various subscription plans with different features, storage limits, and member limits. Subscription fees are charged in advance on a monthly or annual basis, as selected by you.

6.2 Payment Terms

Payments are processed securely through Stripe. By subscribing, you agree to:

  • Pay all fees associated with your subscription
  • Provide accurate payment information
  • Authorize us to charge your payment method
  • Understand that fees are non-refundable except as required by law

6.3 Subscription Changes and Cancellation

You may upgrade, downgrade, or cancel your subscription at any time. Changes to your subscription will take effect at the next billing cycle. Cancellation will take effect at the end of your current billing period, and you will continue to have access until that time.

6.4 Refunds

7. Service Availability and Modifications

We strive to provide reliable service but do not guarantee that the Service will be available at all times or free from errors. We reserve the right to:

  • Modify, suspend, or discontinue the Service at any time
  • Perform maintenance that may temporarily interrupt service
  • Update features and functionality
  • Impose limits on usage or storage

We will provide reasonable notice of significant changes that may affect your use of the Service.

8. Termination

8.1 Termination by You

You may terminate your account at any time by canceling your subscription and deleting your account through the Service settings.

8.2 Termination by Us

We may suspend or terminate your account immediately if:

  • You breach these Terms
  • You engage in fraudulent or illegal activity
  • You fail to pay subscription fees
  • We are required to do so by law

8.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete your account and content, subject to our data retention policies. You remain responsible for any fees incurred prior to termination.

9. Disclaimers and Limitation of Liability

9.1 Service Provided "As Is"

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure.

9.2 Limitation of Liability

To the maximum extent permitted by law, Sports Stats Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Sports Stats Limited and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your content, your violation of these Terms, or your violation of any rights of another party.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
